Terms of service

This agreement

These terms are an agreement between the business using DoneSimpli (“you”) and Granite North Software LLC, a Minnesota limited liability company doing business as DoneSimpli (“DoneSimpli” or “we”). They cover the DoneSimpli app, website, texting and related services (the “Service”).

By tapping “I agree” you accept these terms for your business. The person who accepts confirms that they are at least 18 and authorized to accept for the business.

What DoneSimpli is

DoneSimpli helps owner-led trade businesses keep track of jobs, customers, notes, photos, voice notes, receipts, quotes, invoices and messages, and prepares drafts for you to review. It is still being developed, so its features, limits and the services behind it change over time.

DoneSimpli is not an accounting, tax, legal or professional-advice service, and it does not replace your accounting system or the records the law asks you to keep.

Your account

DoneSimpli is for business use. You agree to give accurate information, keep each person's sign-in to themselves, manage who has access to your business, and tell us straight away at hello@donesimpli.com if you think someone else has used your account. You are responsible for what is done with your account.

Your content

Everything you put into DoneSimpli stays yours: jobs, customers, notes, photos, voice notes, receipts, prices, messages and documents (“your content”). You let us store and process it only to provide, secure, support and improve the Service as the privacy policy describes, to follow your instructions, and to comply with the law. You can download all of it at any time.

You confirm that you have the right to give us your content, including information about your customers, workers and suppliers, and that you have given them any notice the law requires. Do not put health records, payment card numbers, Social Security or other government ID numbers, or information about children into DoneSimpli unless we have agreed to it in writing.

AI-assisted features

DoneSimpli uses AI services from other companies, named in the privacy policy, to read what you give it and prepare drafts, summaries and answers. AI output can be wrong or incomplete. Check it before you rely on it.

You are responsible for your prices, quotes, invoices, taxes, work and messages to your customers, and for checking names, amounts, dates and recipients before anything is sent or issued.

Messages to your customers

You are the sender of anything you send to your customers or other contacts, including quotes, invoices and messages DoneSimpli prepared for you. You are responsible for it, and for any consent the law requires to send it, including for texts and email. Do not use DoneSimpli to prepare marketing texts.

Acceptable use

You and your team must not use DoneSimpli to:

• break the law or another person's rights;
• upload content you have no right to share;
• reach, or try to reach, another business's information;
• probe, overload, reverse engineer or get around the Service, its security or its limits;
• send spam, or misleading, harassing or fraudulent messages; or
• resell the Service or run it for others without our written agreement.

Some features have usage limits, such as questions a day or voice minutes a month. DoneSimpli tells you when you reach one.

Connected services

If you connect another service, such as Google, Microsoft, QuickBooks or WhatsApp, you authorize us to exchange information with it as the connection needs. Those services run under their own terms and privacy policies, and we are not responsible for them. Disconnecting stops our access but does not delete what was already copied.

Texting DoneSimpli

Texting is optional, and agreeing to get texts is not a condition of buying or using DoneSimpli. If you agree in the app, or text DoneSimpli the start code shown in the app, DoneSimpli will text the number you confirmed: codes to confirm it, replies to what you send, drafts and requests to approve things you asked for, service notices, and summaries you turn on. DoneSimpli never texts your customers. How often varies. Message and data rates may apply. Reply STOP to stop texts and HELP for help. The messaging terms are part of these terms, and on WhatsApp, Meta's terms apply too.

You are responsible for what is sent from your confirmed number. Keep your phone locked, and remove a number you no longer control.

Mobile carriers are not liable for delayed or undelivered messages, and a text can be late or lost, so check the app for anything important.

Fees

DoneSimpli is free during the pilot. We will not charge you unless you first see and accept the price, billing terms and how to cancel. You are responsible for taxes on what you buy, other than taxes on our income.

Privacy

The privacy policy explains what we collect and how we use it, and you acknowledge it when you accept these terms. Where we process information about your customers and others for you, we do so on your behalf; a data processing addendum is available from hello@donesimpli.com.

Confidentiality and security

We treat your content as your confidential information. We protect it with reasonable safeguards and share it only with the service providers named in the privacy policy, or as it describes. No system is completely secure, and we cannot promise that nothing will ever go wrong.

Suspension and ending

You can stop using DoneSimpli and delete your business at any time, in Setup, under Your data. Download what you want to keep first.

We may limit or suspend access to prevent harm, investigate abuse or a security problem, comply with the law, or stop a serious breach of these terms, and we will tell you first where we can. You can still download or delete your content while suspended, unless the law or a security incident prevents it. We may end these terms if you seriously breach them and do not fix it after notice, or straight away for unlawful or dangerous use.

We may stop offering DoneSimpli on at least 30 days' notice. You can download your content during that time, and we will refund anything you prepaid for the time after it ends.

The sections on your content, confidentiality, disclaimers, responsibility, liability and disputes continue after the agreement ends.

Disclaimers

DoneSimpli is provided as it is and as available. To the extent the law allows, we make no warranties beyond what these terms say, including that the Service will be uninterrupted or free of errors, or that AI output will be accurate. Pilot and beta features may change or stop.

Responsibility for claims

You will defend us against claims from others, and cover the resulting costs, where the claim comes from your content, your unlawful use of DoneSimpli, or your prices, quotes, invoices, work or the messages you send to your customers, except to the extent we caused it by breaking these terms or by gross negligence.

Limitation of liability

To the extent the law allows, neither of us is liable for indirect, incidental or consequential losses, such as lost profits or lost data. Each party's total liability for any claim about DoneSimpli is limited to the greater of what you paid us for it in the 12 months before the claim, or $500. These limits do not apply to your responsibility for claims above, your breach of the acceptable use rules, fraud, willful misconduct, or what the law does not allow to be limited.

Changes

We may change these terms. When a change matters, DoneSimpli shows you the new version and asks you to agree before you carry on. If you do not agree, you can stop using DoneSimpli.

Law and disputes

These terms are governed by the laws of the State of Minnesota. Before starting a claim, either of us will first describe the problem in writing and allow 30 days to resolve it. Any dispute that is not resolved is decided in the state or federal courts located in Minnesota.

General

We send notices to your account's email or in the app, and you send them to hello@donesimpli.com. You agree to receive agreements and notices electronically. You may not transfer this agreement without our consent; we may transfer it as part of a reorganization, merger or sale. Neither of us is responsible for delays beyond our reasonable control. If part of these terms cannot be enforced, the rest still applies. These terms, the messaging terms and any written agreement we sign with you are the whole agreement about DoneSimpli.
